Referral agreement in summary

There are two sides to any partnership. When Extrasys signs an agreement with a referrer or affiliate both parties then have roles and responsibilities until the contract is terminated and these are summarised below; but first we'll define a few terms:

  • Services - Extrasys's Hosted IT Services
  • Partner - A registered referrer of Services
  • Customers - Partner's prospective and existing customers of Services
  • Partnership - The contract entered into between Extrasys and Partner

Extrasys's roles and responsibilities

Extrasys agrees to:

  • provide Services and send invoices to Customers
  • offer the option of recurring revenue to Partners that take an active involvement in the process of signing up Customers with Extrasys
  • pay Partner either a one-off finder's fee equal to the first month's total per-user fees or a recurring 8% of the total monthly fees for the lifetime of the contract for Services contracted and ordered for an initial term of at least twelve months by a Customer
  • pay Partner either a one-off finder's fee equal to one half of the total standard set-up fee, which is as defined in the current standard rate card, or a recurring 8% of the total monthly fees for the lifetime of the contract for Services contracted and ordered on a rolling month-to-month basis by a Customer
  • provide Partner with marketing collateral and standard rate cards
  • provide Partner with pre-sales support for technically complex, but otherwise qualified opportunities
  • provide Partner with copies of relevant invoices to Customers
  • pay Partner the agreed sums within 30 days of receiving payments from Customers
  • use customer relationship software tools to associate affiliate program referrals with Partner
  • inform Partner of all referrals associated with affiliate programs
  • measure the number of click-throughs from Partner's website/s and provide Partner with relevant web analytics

Extrasys reserves the right to:

  • end Partnership if Partner fails to generate sufficient sales of Services.

Partner's roles and responsibilities

Partners agree to:

  • use best endeavours to promote and market Services to Customers
  • refer Customers to the Extrasys sales team directly or via an affiliate program
  • provide Extrasys with full contact details and other relevant information for Customers
  • abstain from developing and promoting a service to compete directly with Services during the lifetime of Partnership and for a period not less than one year following the end of Partnership
  • sign and abide by Extrasys's standard non-disclosure agreement
For affiliate programs, Partners also agree to:
  • place agreed content on their website, with a pre-defined link to Extrasys's website provided by Extrasys
